The target was a specialised metal processing business operating nine facilities in seven countries. The operations and materials use, storage, and processes varied by site. RPS was engaged to conduct competitive pre-acquisition diligence to identify material exposures and provide risk mitigation solutions to support the transfer of ownership from one private equity firm to another. We worked with counsel to scope and implement the diligence strategy.

The Global regulatory applicability and enforcement varied by site. The Company had limited resources to accompany RPS on site visits during a compressed time-frame (three weeks). Site visits were triaged and required the use of multi-discipline RPS staff from US, UK, EU, Australia, and Asia.
RPS customised work by site and site nature, including desktop and on-site diligence assessing corporate history, known and potential, environmental matters, health & safety, environmental and product compliance, supply chain, labour relations, process optimisation, and product stewardship.
