The target; a multinational manufacturer of materials used in high performance applications across multiple industrial sectors, operated several permitted and non-permitted manufacturing lines within UK and European facilities. RPS was engaged by a private equity investor to establish the environmental, health and safety (EHS) risks associated with operations and assets in advance of acquisition.
RPS worked closely with the investors, the target’s management team and lending partners throughout the entire deal process; helping to translate complex technical and operational legacy issues into pragmatic advice.

The client’s investment team was required to quickly understand the target in a competitive bidding scenario. RPS was engaged to ‘get to grips’ rapidly with the business and report back on potential issues that could affect the client’s ability to submit a considered bid.
RPS delivered desktop and on-site diligence on the target; assessing EHS compliance, land quality constraints and product stewardship issues. The team was praised by the client in being able to efficiently convey key issues in lay person’s terms while also explaining the risks faced by the business, in the context of the wider transaction. RPS was further retained during the deal process to answer questions from a consortium of lenders.
