Voting Rights and Capital

In conformity with the Transparency Directive's transitional provision 6 we would like to notify the market of the following:

RPS Group plc's capital consists of 207,114,352 ordinary shares with voting rights. RPS Group plc does not hold any shares in Treasury. The increase in the number of shares (1,567,111 shares) from those announced on 29 March 2007 relate to the employee share option scheme, the employee Share Incentive Plan, two employee SAYE schemes and consideration shares.

Therefore, the total number of voting rights in RPS Group plc is 207,114,352.

The above figure (207,114,352) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, RPS Group plc under the FSA's Disclosure and Transparency Rules.
